BAKER’S NOOK, LLC only sells its products to adults who can purchase with a credit card of other permitted payment method. Accordingly, you affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in this Agreement, and to abide by and comply with this Agreement.

BAKER’S NOOK, LLC may revise this Agreement at any time and you agree to be bound by the revised Agreement. Any such modifications will become effective upon the date they are first posted to this Website. To purchase goods using this Website, you must create an account using accurate information. You are responsible for maintaining the confidentiality of your account password. ACCOUNT TERMINATION
Without limiting its other remedies, BAKER’S NOOK, LLC may terminate your account at any time if you are determined to have violated this Agreement or for any other reason, as determined in the sole and absolute discretion of BAKER’S NOOK, LLC. BAKER’S NOOK, LLC will not be liable under any theory for any losses caused by the termination of your account.
RISK OF LOSS
All items purchased from BAKER’S NOOK, LLC are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.
PRICING
All prices are listed in U.S. Dollars. Except where noted otherwise, the list price displayed for products on this Website represents the full retail price listed on the product itself, suggested by the manufacturer or supplier, or estimated in accordance with standard industry practice; or the estimated retail value for a comparably featured item offered elsewhere. The list price is a comparative price estimate and may or may not represent the prevailing price in every area on any particular day. For certain items that are offered as a set, the list price may represent "open-stock" prices, which means the aggregate of the manufacturer's estimated or suggested retail price for each of the items included in the set.
Items in your Shopping Cart will always reflect the most recent list price displayed on the item's product detail page. Accordingly, with respect to items sold by BAKER’S NOOK, LLC, we cannot confirm the price of an item until you order; however, we do NOT charge your credit card until after your order has entered the shipping process. Despite our best efforts, a small number of the items in our catalog may be mispriced. If an item's correct price is higher than our stated price, we will, at our discretion, either contact you for instructions before shipping or cancel your order and notify you of such cancellation.
SURCHARGES
Oversized and extremely heavy products will incur a special shipping surcharge. The surcharge varies depending on the size and weight of the product. This charge will be displayed in the shipping & handling subtotal of the order form.
PRODUCT DESCRIPTIONS
BAKER’S NOOK, LLC attempts to be as accurate as possible when describing the products sold on this Website. However, BAKER’S NOOK, LLC does not warrant that product descriptions provided by our suppliers or other Content of this Website are/is accurate, complete, reliable, current, or error-free. If a product offered by BAKER’S NOOK, LLC itself is not as described, your sole remedy is to return it in unused condition. Please see our Return Policy for additional information. Accordingly, you shall not be entitled to a credit card chargeback based on any claim that the product was not as described, unless it was defective, in which case the terms and conditions of the following paragraph shall apply.
OTHER CHARGEBACKS
If you claim that the product delivered was defective, you agree to notify BAKER’S NOOK, LLC and return the product in unused condition prior to attempting a credit card chargeback. If the product is not found to be defective upon return, as determined in the sole discretion of BAKER’S NOOK, LLC, then you shall not be entitled to a chargeback. Please further note that all sales are final on special order items. All returns shall be made at your sole expense. Please see our Return Policy for additional information. If you claim that the product was never received, you must notify BAKER’S NOOK, LLC so that we may investigate the status of the shipment. You agree not to attempt a credit card chargeback for fifteen (15) days following the date of such notification, and any attempt made in violation of this sentence shall be void. You also agree that any attempted credit card chargeback for any reason whatsoever shall be void if filed over thirty (30) days following the date of sale. Even if your credit card chargeback is successful, BAKER’S NOOK, LLC reserves the right to pursue all legal remedies necessary to collect the product purchase price and all claims and expenses, including reasonable attorney fees, arising out of or related in any way to an improper credit card chargeback.

TERM AND TERMINATION

CONTROLLING LAW, JURISDICTION AND INTERNATIONAL USERS
This Agreement is governed by and shall be construed in accordance with the laws of the State of Michigan, U.S.A., without reference to its conflicts of laws provisions. BAKER’S NOOK, LLC makes no representation that the materials are appropriate or available for use outside the U.S.A. If you access this site from outside the U.S.A., you will be responsible for compliance with all local laws. You agree to comply with all laws and regulations applicable to your use of this site. You agree and hereby submit to the exclusive personal jurisdiction and venue of the Circuit Court of Washtenaw County and the United States District Court for the Eastern District of Michigan for any disputes with BAKER’S NOOK, LLC arising out of your use of this Website.

B. Counter-Notice. If you believe that your Content that was removed (or to which access was disabled) is not infringing, or that you have the authorization from the copyright owner, the copyright owner's agent, or pursuant to the law, to post and use the content in your User Submission, you may send a counter-notice containing the following information to the Copyright Agent:

SAVINGS CLAUSE
If for any reason a court of competent jurisdiction finds any provision of this Agreement, or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of the parties as reflected by that provision, and the remainder of this Agreement shall continue in full force and effect.
WAIVER
Any failure by BAKER’S NOOK, LLC to enforce or exercise any provision of this Agreement or related right shall not constitute a waiver of that right or provision.
CAPTIONS
The section titles used in this Agreement are purely for convenience and carry with them no legal or contractual effect.
LANGUAGE
It is the express wish of the parties that this Agreement and all related documents have been drawn up in English. All notices sent under this Agreement must likewise be provided in English.
